Terms and Conditions

Welcome to RelyElevator. These Terms and Conditions govern the purchase and sale of elevator accessories (“Goods”) and related services (“Services”) provided by RelyElevator. By placing an order, you agree to be bound by these terms.

1. Application of Terms

  • Agreement: The Supplier (RelyElevator) shall supply, and the Customer shall purchase Goods and Services as per the accepted quotation, subject to these Terms and Conditions.
  • Exclusivity: These terms override any conflicting terms in the Customer’s order or acceptance, unless expressly agreed in writing by RelyElevator.

2. Definitions

  • Business Day: Any day except Saturday, Sunday, or public holidays in China.
  • Contract: The agreement for the purchase and sale of Goods/Services under these terms.
  • Contract Price: The price stated in the quotation, excluding taxes unless specified.
  • Customer: The individual or entity accepting RelyElevator’s quotation or placing an order.
  • Delivery Date: The agreed date for Goods delivery, as specified in the order.
  • Goods: Elevator accessories supplied by RelyElevator, including parts or installments.
  • Services: Installation, maintenance, or consulting services outlined in the quotation.
  • Supplier: RelyElevator, registered in Beijing, including its employees and agents.

3. Orders and Payment

  • Quotation Validity: Quotations are valid for 30 days unless otherwise stated.
  • Payment Terms: Full payment is due within 30 days of invoice issuance via bank transfer, credit card, or other agreed methods. Late payments incur a 1.5% monthly fee.
  • Taxes: Prices exclude applicable taxes (e.g., VAT, GST), which the Customer is responsible for unless exempt.

4. Delivery and Risk

  • Delivery: Goods are delivered to the Customer’s specified address on the agreed Delivery Date. Shipping costs are included in the quotation or billed separately.
  • Risk and Title: Risk transfers to the Customer upon delivery; title passes upon full payment.
  • Delays: RelyElevator is not liable for delays due to force majeure (e.g., natural disasters, strikes).

5. Warranty and Returns

  • Warranty: Goods are warranted against defects for 12 months from delivery. Services are warranted for 90 days.
  • Returns: Defective Goods may be returned within 30 days for replacement or refund, subject to inspection. Non-defective returns are not accepted unless agreed.
  • Exclusions: Warranty does not cover misuse, improper installation, or unauthorized repairs.

6. Liability

  • Limitation: RelyElevator’s liability is limited to the Contract Price. We are not liable for indirect losses (e.g., lost profits).
  • Compliance: Goods comply with Chinese industry standards (e.g., GB/T). Customers are responsible for ensuring compliance with local regulations.

7. Confidentiality

Both parties shall protect Confidential Information disclosed during the Contract and not disclose it without consent, except as required by law.

8. Cancellation and Termination

  • Cancellation: Orders may be canceled before shipment with written notice, subject to a 10% fee. Post-shipment cancellations are not permitted.
  • Termination: Either party may terminate the Contract for material breach with 30 days’ written notice.

9. Changes to Terms

We may update these Terms by posting changes on our website (https://www.relyelevator.com). Continued use after updates constitutes acceptance.

10. Governing Law and Disputes

  • Law: This Agreement is governed by the laws of China.
  • Disputes: Disputes shall be resolved in Beijing courts or through arbitration, as agreed.
